1. Acceptance of these Terms

These Terms of Service (the "Terms") are a legal agreement between you and RZP Investments LLC, doing business as RZP Trading ("RZP Trading," "we," "us," or "our"). They govern your access to and use of the RZP Trading website, dashboard, paper-trading platform, AI Coach, courses, and related services (together, the "Service").

By creating an account, joining the beta, subscribing to a paid plan, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Refund & Cancellation Policy, and Education & Risk Disclaimer, each incorporated here by reference. If you do not agree, do not use the Service.

2. Who we are

The Service is operated by RZP Investments LLC, a limited liability company organized under the laws of the State of Wyoming, doing business as RZP Trading. You can reach us at support@rzptrading.com.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed to, and may not be used by, anyone under 18. By using the Service you represent that you meet these requirements, that the information you provide is accurate, and that you are not barred from using the Service under the laws of your jurisdiction.

4. What RZP Trading is — and is not

RZP Trading is an educational options-trading platform. It is designed to help you learn defined-risk options strategies and the IV-confluence method through practice and coaching. Please read this section carefully:

Paper trading only. All trading on the Service is simulated. There are no real orders, no real money, and no real positions. Order fills and prices are simulated against live market data for learning purposes and will differ from results at a real brokerage.
Not a brokerage. RZP Trading is not a broker-dealer, is not registered with the SEC or FINRA, does not hold customer funds or securities, and cannot execute real securities transactions.
Not financial, investment, tax, or legal advice. Nothing on the Service is a recommendation to buy, sell, or hold any security or to adopt any strategy. The Service does not create any advisory or fiduciary relationship.
Not affiliated with Tastytrade. The Service is built on Tastytrade's ecosystem for live market data only. RZP Trading is independent and is not affiliated with, sponsored by, or endorsed by Tastytrade or its affiliates.
Substantial risk in real options trading. Options trading involves substantial risk of loss and is not suitable for every investor. Past performance is not a guarantee of future results, and no one — including RZP Trading — can promise any return. See our full Education & Risk Disclaimer.

5. Accounts, invites & beta access

The Service is currently offered as an early-access, invite-only beta. Access may be limited, single-tenant, or offered to a small number of members while we develop the product. We may grant, decline, suspend, or revoke invitations and accounts at our discretion.

You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly at support@rzptrading.com if you suspect unauthorized use. You may not share, sell, or transfer your account.

Because the Service is a beta, features may change, break, or be removed, and the Service may contain errors. We provide it on an "as available" basis (see Section 11).

6. Acceptable use

You agree not to, and not to attempt to:

use the Service for any unlawful purpose or in violation of any applicable law or regulation;
represent the Service's educational output as personalized investment advice, or resell, rebrand, or redistribute the Service or its content;
copy, scrape, harvest, or redistribute market data obtained through the Service, or otherwise violate any third-party data provider's terms;
reverse engineer, decompile, or attempt to extract source code, models, or trade secrets from the Service, except where such restriction is prohibited by law;
interfere with, overload, or disrupt the Service, probe or breach its security, or access it through automated means except as we expressly permit;
upload malicious code, or use the Service to infringe others' intellectual property or privacy rights.

We may investigate and take appropriate action, including suspending or terminating accounts, for any violation.

7. Subscriptions, billing & auto-renewal

The Service offers a free tier and paid subscription tiers. Current plans are:

Foundation — $0 (free).
Intermediate — $19/month or $190/year.
Advanced — $39/month or $390/year.
Everything / Pro — $79/month or $790/year.

Prices are early-access launch pricing and may change (see Section 15). Applicable taxes may be added.

Payment processor. Paid subscriptions are billed through PayPal. When you subscribe, you authorize PayPal and RZP Trading to charge your selected payment method according to your chosen plan. Your card and payment details are handled by PayPal under PayPal's own terms and privacy policy; RZP Trading does not receive or store your full card number.

Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price for your plan, until you cancel. By subscribing, you consent to recurring, automatically renewing charges.

Cancellation and refunds. You can cancel at any time, and cancellation, downgrade, and refund terms are described in our Refund & Cancellation Policy. In general, when you cancel, your paid access continues until the end of the period you have already paid for and then reverts to the free Foundation tier.

8. The AI Coach

The AI "Coach" is an educational feature. It is grounded in the RZP method and your paper-trading environment, and it operates confirm-first and paper-only — it can draft, stage, and help manage simulated trades that you review, and it never touches real money and never places real orders. The Coach may produce information that is incomplete, out of date, or wrong. It does not provide personalized investment advice, and you should independently verify anything before acting on it in the real world. Do your own research and consult a licensed professional for advice specific to your situation.

9. Market data & third-party services

The Service relies on third parties, including a Tastytrade data feed for live market data, PayPal for billing, and cloud hosting infrastructure (including Amazon Web Services). Your use of those services may also be subject to their terms. Market data may be delayed, inaccurate, or interrupted, and we are not responsible for third-party services or for losses arising from them.

10. Intellectual property

The Service, including its software, design, text, graphics, courses, the RZP method and materials, the "RZP Trading" and "RZP Investments" names and logos, and all related intellectual property, is owned by RZP Investments LLC or its licensors and is protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own educational purposes while your account is active and in good standing. All rights not expressly granted are reserved.

If you send us feedback, ideas, or suggestions, you grant us a non-exclusive, worldwide, royalty-free license to use them without obligation to you.

11. Disclaimers of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that data or simulated results will be accurate, or that the Service will meet your expectations. This is an early-access beta and may contain defects. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RZP INVESTMENTS LLC AND ITS OWNERS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, OR TRADING OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Because the Service is educational and paper-only, it does not itself cause real-money trading losses; any real-world trading you do elsewhere is your own decision and responsibility. Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the [12] months before the claim or (b) US $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless RZP Investments LLC and its owners, officers, and contractors from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.

14. Termination

You may stop using the Service and close your account at any time by contacting support@rzptrading.com (and by cancelling any subscription as described in our Refund & Cancellation Policy). We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms or if we discontinue the Service. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

15. Changes to the service & these Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing law & disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. You agree that the state or federal courts located in the State of Wyoming will have jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there. Before filing any claim, you agree to first contact us at support@rzptrading.com and try in good faith to resolve the dispute informally.

17. Miscellaneous

These Terms, together with the policies referenced above, are the entire agreement between you and RZP Trading regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
